吳勝兆（？ - 1647年），明朝遼東人。明末清初軍事人物。早年是吳三桂的副官。後來是李成棟麾下，任參將。招降楊廷樞的學生戴之俊與周謙指揮的太湖叛軍。與江寧巡撫土國寶不合，南京總督軍務洪承疇命吳勝兆于順治三年七月初八日移鎮松江。
土國寶和洪承疇對吳勝兆開始起疑，吳勝兆接受夏寶謨的邀請，去舟山謀叛。吳勝兆通過戴之俊暗中與陳子龍取得聯繫。順治四年（1647年）四月十五日吳勝兆策劃叛清投明。吳勝兆反清事敗被殺，清廷搜得夏完淳所書謝表，洪承疇下令通緝夏完淳。
